2 Engagement
- Scope of services is defined in each Statement of Work (SOW).

- Start date is the date of contract signature unless otherwise agreed.
3 Fees & Payments
- Setup fee is due upon contract signing.
- Monthly retainer begins after onboarding, payable every 30 days.
- Additional fees apply for custom requests outside agreed scope.
- All payments are final and non-refundable.
4 Performance Disclaimer
NexMind Automation delivers expertise and work, not guaranteed results.
Business outcomes vary depending on client execution, industry, and market.
5 Intellectual Property
- Client owns all deliverables (apps, workflows, creative assets) upon full payment.
- NexMind retains ownership of internal frameworks, tools, and processes.
6 Confidentiality & Data Security
- All client information is kept confidential.
- Strict NDAs signed with all team members and contractors.
7 Limitation of Liability
- Liability is capped at the fees paid in the past 12 months.
- NexMind is not liable for indirect, consequential, or lost profits.
8 Termination
- Either party may terminate with 30 days' written notice.
- All outstanding invoices remain payable.
9 Governing Law
- Governed by the laws of England & Wales.
- Disputes resolved first via mediation, then binding arbitration.
